Trimiterea de oferte \u0219i\/sau documenta\u021bii nu implic\u0103 o obliga\u021bie din partea noastr\u0103 s\u0103 accept\u0103m o comand\u0103.<\/p>\n<p>1.2 Conceperea unei oferte nu atrage costuri pentru dvs. Dac\u0103 se estimeaz\u0103 c\u0103 formularea acestei oferte dureaz\u0103 mai mult de 4 ore, se pot calcula costuri, dup\u0103 consultarea dvs. prealabil\u0103.<\/p>\n<ol start=\"2\">\n<li><strong>Contract<\/strong><\/li>\n<\/ol>\n<p>2.1 Vom \u00eencheia o conve\u021bie dup\u0103 ce am acceptat comanda dvs. \u00een scris. Data semn\u0103rii este esen\u021bial\u0103 din acest punct de vedere. De la data confirm\u0103rii comenzii contractul se considerat\u0103 c\u0103 produce efecte juridice. Orice conven\u021bie sau modificare ulterioar\u0103 va fi obligatorie pentru p\u0103r\u021bi numai dac\u0103 acestea \u0219i-au dau acordul \u00een scris.<\/p>\n<p>2.2 \u00cen cazul tranzac\u021biilor pentru care, din cauza naturii \u0219i sferei acestora, nu s-a trimis nicio ofert\u0103 sau confirmare, se consider\u0103 c\u0103 contractul produce efecte jruidice de la data facturii, care poate fi atacat \u00een scris cel mult 8 zile lucr\u0103toare de la data emiterii facturii.<\/p>\n<p>2.3 Toate contractele sunt supuse condi\u021biei suspensive conform c\u0103reia dvs. sunte\u021bi considerat, \u00een urma unei evalu\u0103ri realizate de noi, a fi suficient de solvabil pentru executarea obliga\u021biilor monetare convenite \u00een contract.<\/p>\n<p>Avem dreptul p\u00e2n\u0103 la \u0219i dup\u0103 \u00eencheierea contractului, \u00eenainte de executarea (continuarea execut\u0103rii) contractului, s\u0103 v\u0103 solicit\u0103m garan\u021bii pentru a ne asigura de executarea obliga\u021biei de plat\u0103 \u0219i a celorlalte obliga\u021bii contractuale.<\/p>\n<p>2.4 Ave\u021bi obliga\u021bia de a nu furniza \u00een timp util toate informa\u021biile \u0219i documentele necesare pentru executarea corespunz\u0103toare a contractului.<\/p>\n<p>2.5 \u00cen calitate de parte interesat\u0103, ave\u021bi obliga\u021bia s\u0103 ne inspecta\u021bi produsele \u0219i serviciile \u0219i s\u0103 ne comunica\u021bi orice probleme constatate.<\/p>\n<ol start=\"3\">\n<li><strong>Pre\u021buri<\/strong><\/li>\n<\/ol>\n<p>Dac\u0103 nu se prevede contrariul, pre\u021burile noastre nu includ TVA, sunt stabilite \u00een Euro \u0219i nu includ costurile unor transporturi \u00een condi\u021bii speciale. Ve\u021bi fi notificat cu dou\u0103 luni \u00eenainte de orice modificare a pre\u021burilor.<\/p>\n<ol start=\"4\">\n<li><strong>Anulare<\/strong><\/li>\n<\/ol>\n<p>Nu se po anula instrumentele odat\u0103 ce chestionarele au fost trimise. Acestea vor fi taxate \u00een totalitate (100%). Pute\u021bi reprograma gratuit trimiterea chestionarelor.<\/p>\n<ol start=\"5\">\n<li><strong>Livrare \u0219i transport<\/strong><\/li>\n<\/ol>\n<p>Modalitatea de transport \u0219i livrare va fi stabilit\u0103 pe baza normelor \u0219i uzan\u021belor comerciale obi\u0219nuite, dac\u0103 nu am convenit altfel cu dvs. Ve\u021bi suporta riscul transportului, inclusiv culpa \/neglijen\u021ba transportatorului.<\/p>\n<ol start=\"6\">\n<li><strong>For\u021b\u0103 major\u0103<\/strong><\/li>\n<\/ol>\n<p>6.1 Dac\u0103 noi consider\u0103m c\u0103 for\u021ba major\u0103 are caracter temporar, avem dreptul s\u0103 suspend\u0103m executarea contractului p\u00e2n\u0103 c\u00e2nd cauza for\u021bei majore \u00eenceteaz\u0103.<\/p>\n<p>6.2 Dac\u0103 noi consider\u0103m c\u0103 for\u021ba major\u0103 are caracter permanent, p\u0103r\u021bile pot conveni \u00eencetarea contractului cu toate consecin\u021bele legale aferente.<\/p>\n<p>6.3 Avem dreptul s\u0103 pretindem plata pentru bunurile livrate \u0219i\/sau munca efectuat\u0103 \u00een temeiul contractului \u00eenainte de apari\u021bia cauzei de for\u021b\u0103 major\u0103.<\/p>\n<p>6.4 Partea care consider\u0103 c\u0103 este sau va fi expus\u0103 unui caz de for\u021b\u0103 major\u0103, trebuie s\u0103 informeze imediat, \u00een scris, cealalt\u0103 parte.<\/p>\n<ol start=\"7\">\n<li><strong>Drepturi de proprietate intelectual\u0103<\/strong><\/li>\n<\/ol>\n<p>7.1 Toate drepturile de proprietate industrial\u0103 \u0219i intelectual\u0103 sub inciden\u021ba c\u0103rora se afl\u0103 produsele \u0219i serviciile noastre, inclusiv patente, design \u0219i m\u0103rci comerciale, copyright \u0219i drepturi anexe, drepturi asupra bazelor de date \u0219i chipuri, r\u0103m\u00e2n \u00een proprietatea noastr\u0103. Totodat\u0103, ave\u021bi obliga\u021bia de a ne desp\u0103gubi pentru toate consecin\u021bele directe \u0219i indirecte ale preten\u021biilor formulate de ter\u021bi \u00eempotriva noastr\u0103 cu privire la \u00eenc\u0103lcarea acestei garan\u021bii.<\/p>\n<ol start=\"8\">\n<li><strong>R\u0103spundere<\/strong><\/li>\n<\/ol>\n<p>8.1 R\u0103spunderea noastr\u0103 se limiteaz\u0103 la cea prev\u0103zut\u0103 de dispozi\u021biile legale aplicabile.<\/p>\n<p>8.2 R\u0103spunderea noastr\u0103 nu va dep\u0103\u0219i niciodat\u0103 valoarea total\u0103 a comenzii \u00een cauz\u0103.<\/p>\n<p>8.3 Conform normelor \u0219i practicilor generale de ordine public\u0103 \u0219i bun\u0103 credin\u021b\u0103, nu avem r\u0103spunderea de a pl\u0103ti nicio compensa\u021bie pentru daune, de orice natur\u0103, directe sau indirecte, inclusiv pierderi comerciale, pentru drepturi reale sau personale, sau c\u0103tre alte persoane, fie legate de de cealalt\u0103 parte contractant\u0103, fie legate de ter\u021bi.<\/p>\n<p>8.4 \u00cen orice caz, nu ne asum\u0103m r\u0103spunderea pentru daune provocate de utilizarea (necorespunz\u0103toare) a bunurilor livrate sau de imcompatibilitatea scopului pentru care dvs. le-a\u021bi achizi\u021bionat.<\/p>\n<p>8.5 Dac\u0103, din cauza for\u021bei majore, trebuie s\u0103 ne abatem de la datele \u0219i perioadele convenite, nu ne asum\u0103m r\u0103spunderea pentru daune cauzate de aceste \u00eent\u00e2rzieri, cum ar fi costuri de c\u0103l\u0103torie sau ore nelucrate.<\/p>\n<ol start=\"9\">\n<li><strong>Reclama\u021bii<\/strong><\/li>\n<\/ol>\n<p>9.1 Vom analiza reclama\u021biile dac\u0103 acestea ajung la noi \u00een 8 zile lucr\u0103toare de la afectarea execut\u0103rii contractului. Aceast\u0103 prevedere se aplic\u0103 \u0219i \u00een cazul reclama\u021biilor privind facturile. Dup\u0103 expirarea acestui termen vom considera c\u0103 a\u021bi acceptat bunurile livrate sau factura emis\u0103.<\/p>\n<p>9.2 Dac\u0103 consider\u0103m c\u0103 reclama\u021bia este justificat\u0103, suntem obliga\u021bi numai la executarea corespunz\u0103toare a presta\u021biei.<\/p>\n<p>9.3 Dac\u0103 reclama\u021bia este justificat\u0103, aceasta va suspenda obliga\u021bia dvs. de plat\u0103 p\u00e2n\u0103 la solu\u021bionarea reclama\u021biei.<\/p>\n<ol start=\"10\">\n<li><strong>Dreptul de reten\u021bie \u0219i plata<\/strong><\/li>\n<\/ol>\n<p>10.1 Bunurile livrate r\u0103m\u00e2n \u00een proprietatea noastr\u0103 p\u00e2n\u0103 c\u00e2nd pl\u0103ti\u021bi toate livr\u0103rile \u0219i munca \u2013 executat\u0103 conform contractului \u2013 sau toate livr\u0103rile \u0219i munca care mai trebuie executat\u0103, inclusiv dob\u00e2nda \u0219i costurile.<\/p>\n<p>10.2 \u00cen caz de moratoriu asupra pl\u0103\u021bii, faliment, suspendarea pl\u0103\u021bii, cesiunea sau transferul afacerii dvs., deces, dac\u0103 sunte\u021bi o persoan\u0103 fizic\u0103, avem dreptul s\u0103 anul\u0103m comanda, f\u0103r\u0103 punere \u00een \u00eent\u00e2rziere sau interven\u021bia justi\u021biei, total sau par\u021bial, \u0219i s\u0103 recuper\u0103m bunurile nepl\u0103tite p\u00e2n\u0103 atunci. Anularea \u0219i retragerea bunurilor nu ne afecteaz\u0103 dreptul la desp\u0103gubiri pentru pierderile sau daunele suferite. \u00cen astfel de cazuri, orice preten\u021bie rezultat\u0103 trebuie pl\u0103tit\u0103 imediat \u0219i integral de c\u0103tre dvs.<\/p>\n<p>10.3 Dac\u0103 nu se prevede contrariul, plata trebuie f\u0103cut\u0103 \u00een 14 zile de la emiterea facturii, prin depozit sau transfer \u00eentr-un cont bancar precizat de c\u0103tre noi.<\/p>\n<p>10.4 Dob\u00e2nda legal\u0103 va curge \u00eenc\u0103 o lun\u0103 dup\u0103 data facturii.
